In this paper the Author puts the benefit corporation in a historical perspective, showing how corporate law has progressively detached itself from the idea of the corporation as an institution naturally aimed at producing profits for its shareholders to become a neutral organizational form for economic activities, and asks himself whether the benefit corporation is consistent with this evolution or rather represents the attempt of the legislator to define the realm of for profit corporations on the one hand – all corporations but the benefit – and the benefit corporation on the other, becoming the corporate form dedicated to (also) non for profit objectives. The Author also touches on the question of directors’ liability and shareholders’ and stakeholders’ standing in this context.
In questo articolo l’Autore colloca la società benefit in una prospettiva storica, mostrando come il diritto societario si sia progressivamente distaccato dall’idea della società come istituzione destinata essenzialmente a produrre profitti per i suoi azionisti per diventare una forma organizzativa neutrale per l’esercizio di attività economiche, e si chiede se la società benefit sia coerente con questa evoluzione o piuttosto rappresenti il tentativo del legislatore di definire il regno delle società a scopo di lucro da una parte – tutte le società ad eccezione delle società benefit –, e la società benefit dall’altra, diventando essa la forma societaria dedicata (anche) a scopi non lucrativi. L’autore tocca anche la questione della responsabilità degli amministratori e della legittimazione degli azionisti e degli stakeholders in questo contesto.
